The MSA / SOW Scoping Checklist is a one-page planning document for any service business or consulting practice that runs more than one project with the same client. It maps the questions you should answer before you draft — not while you are drafting.

The checklist isolates the items that belong in the Master Service Agreement from the items that belong in each Statement of Work, so the legal frame is set once and the per-project document stays short. Use it before talking to counsel, or as the agenda for an internal conversation with sales, delivery, and finance.

What the checklist covers

  • The MSA inventory: confidentiality, IP, indemnification, liability cap, insurance, payment, termination, governing law, order of precedence.
  • The SOW inventory: scope, deliverables, milestones, acceptance criteria, price, assumptions.
  • The change-order template fields a service business should standardize on from day one.
  • Risk-calibration prompts: data sensitivity, regulatory exposure, and IP economics.
